Mr. Cicero handles a wide variety of real estate and business matters, representing a broad range of public and privately held investor and developer clients in their acquisitions, dispositions and financing of commercial assets, and in every phase of condominium and cooperative development.
In his commercial real estate transactions, Mr. Cicero represents clients in deals both large and small, including the acquisition and disposition of shopping centers, office buildings, mixed-use and multifamily assets across the country. He has closed many transactions that have involved the use of “like-kind” tax deferred exchanges (commonly known as “1031 exchanges”), as well as reverse 1031 exchanges. His financing work involves the representation of clients in a variety of loan structures for the purposes of acquisitions, construction, refinancing and tax deferred arrangements. Mr. Cicero also has experience representing clients in connection with loan purchases and deed in lieu of foreclosure transactions.
His condominium and cooperative work incorporates the planning, formation and structure of new construction condominiums and cooperatives as well as the conversion of existing buildings into commercial and residential condominium and cooperative units. He handles the drafting and submission of offering plans, tax lots and related regulatory filings, before the New York State Office of the Attorney General, the New York City Department of Finance and other City and State agencies, and actively negotiates the sales of the associated units.
On the corporate side, Mr. Cicero advises clients on a broad range of corporate, partnership and limited liability company transactions, including the formation of business entities, the purchase and sale of interests in business entities, the structuring of tenancy-in-common and joint venture ownership agreements and the purchase and sale of business assets.
